1 Scope of the Agreement

This Agreement governs your access to and use of the website, API services, and any related software, tools, features, or content provided through the platform (collectively, the "Services").

3 Service Content
AI Nexus operates as an aggregated LLM (Large Language Model) platform, providing a unified interface for accessing multiple AI models from various providers.
- Aggregated LLM Platform: Our platform aggregates and provides API access to multiple Chinese and international AI language models through a single API endpoint, simplifying integration for developers.
- API Calling: Users can make API calls to various AI models for text generation, code generation, analysis, and other AI-powered tasks through our platform's REST API.
- Model Providers: Our platform integrates with leading AI model providers including but not limited to DeepSeek, Zhipu AI (GLM), Alibaba (Qwen), and other providers we may add or remove from time to time.
We reserve the right to add, remove, or modify the available models and providers at any time without prior notice. The availability of specific models may vary depending on regional restrictions, provider agreements, and technical considerations.
4 User Code of Conduct
As a condition of using the Services, you agree to:
- Compliance with Laws: Comply with all applicable local, national, and international laws, regulations, and ordinances in your use of the Services.
- Prohibited Activities: You shall not use the Services to:
- Generate, distribute, or promote illegal, harmful, abusive, harassing, defamatory, or otherwise objectionable content.
- Violate the intellectual property rights of others.
- Attempt to circumvent any security measures, rate limits, or access controls.
- Use automated means (bots, scrapers, etc.) to access the Services in any manner that violates our rate limits or terms.
- Reverse engineer, decompile, or disassemble any part of the Services.

5 Service Fees and Payment
- Pre-Payment Mode: Our Services operate on a pre-payment, credit-based model. You must purchase credits before using paid features of the platform.
- Usage-Based Billing: Credits are deducted based on your usage of the Services, including API calls and other billable actions. The specific pricing for each model and service is displayed on our pricing page and is subject to change with notice.
- Payment Methods: We accept payments through Stripe (credit/debit cards), Alipay, and WeChat Pay. Additional payment methods may be added from time to time.
- Non-Refundable: All purchases of credits are final and non-refundable, except as required by applicable law. Unused credits do not expire and remain in your account until used.
6 Intellectual Property Rights
All intellectual property rights in and to the AI Nexus platform, including but not limited to the website design, software code, APIs, documentation, trademarks, trade names, and related materials, are owned by Hainan Tongcheng Technology or its licensors.
This Agreement does not grant you any ownership rights in the Services or any intellectual property rights of the Company or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with this Agreement.
Content generated by AI models through our platform is subject to the terms and conditions of the respective model providers. You retain ownership of your input data and any output you generate, subject to the terms of this Agreement and applicable laws.
7 Disclaimer
- Aggregating Middleware: AI Nexus acts as an aggregating middleware that facilitates access to third-party AI model providers. We do not develop, own, or control the underlying AI models.
- No Warranty on AI Content: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES, BIASES, OR OTHER FLAWS AND SHOULD BE USED WITH APPROPRIATE CAUTION AND HUMAN REVIEW. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF AI-GENERATED OUTPUT.
8 Termination of the Agreement
This Agreement shall remain in effect until terminated in accordance with its terms.
- Termination by You: You may terminate this Agreement at any time by discontinuing your use of the Services and canceling your account.
- Termination by Us: We reserve the right to terminate or suspend this Agreement, your account, and your access to the Services at any time, without prior notice or liability, for any reason, including but not limited to a breach of this Agreement.
- Effect of Termination: Upon termination, your right to use the Services will immediately cease. Any outstanding credits in your account at the time of termination are forfeited, except as required by applicable law. Sections 5 (Fees), 6 (IP), 7 (Disclaimer), 9 (Governing Law), and 10 (Miscellaneous) shall survive termination.
9 Governing Law and Dispute Resolution
- Governing Law: This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of the People's Republic of China.
- Operating Entity: This platform is operated by Hainan Tongcheng Technology, a registered entity under the laws of the People's Republic of China.
- Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be resolved through good-faith negotiations. If the dispute cannot be resolved amicably within 30 days, it shall be submitted to the competent courts of the place of domicile of Hainan Tongcheng Technology in the People's Republic of China.
10 Miscellaneous
- Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding your use of the Services and supersedes all prior agreements and understandings.
- Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Assignment: You may not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent. We may assign this Agreement freely.
- Notices: All notices under this Agreement shall be in writing and sent to the email address provided by you or to the contact email listed on our website.
- Amendments: We reserve the right to modify this Agreement at any time. Material changes will be communicated to you via email or through a notice on our platform. Your continued use of the Services after such modifications constitutes your acceptance of the revised Agreement.
